KENSU TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Kensu mobile application, website, and related services (collectively, the “Services”). The Services are operated by Kenko Space, LLC d/b/a KENSU, a Delaware limited liability company with its principal place of business in California (“Kensu,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility

The Services are intended solely for individuals 18 years of age or older. By using the Services, you represent and warrant that you are at least 18 years old and legally capable of entering into a binding agreement.

2. Modification of Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services. We may require you to affirmatively accept updated Terms before continued access to certain features.

3. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose information. By using the Services, you consent to the collection and use of information as described therein.

By using the Services, you consent to receive electronic communications from Kensu, including transactional notices, billing communications, service updates, and promotional messages. You agree that such communications satisfy any legal requirement that communications be in writing.

4. Account Registration and Security

You may be required to create an account to access certain features. You agree to provide accurate information, maintain the confidentiality of your credentials, and accept responsibility for all activity under your account.

We may suspend or terminate accounts that violate these Terms or present risk to the platform or other users.

5. Description of Services

Kensu provides a digital platform enabling users to discover, save, organize, review, and share information regarding wellness, beauty, and health-related providers, services, and experiences.

The Services may include content features, social features, booking functionality, memberships, discounts, concierge services, and other paid or unpaid offerings. Features may change, expand, or be discontinued at any time.

Kensu operates solely as a technology platform and marketplace. Kensu is not a healthcare provider, medical practice, broker, agent, insurer, or referral service, and does not independently verify the credentials, licensing status, or qualifications of third-party providers unless expressly stated. Users should not rely on any content or listings as a substitute for independent evaluation.

6. No Medical Advice

The Services may include wellness, aesthetic, or health-related content. Kensu does not provide medical care, diagnosis, or treatment, does not guarantee outcomes, and does not determine the suitability of any provider or service.

All content is for informational purposes only. You assume full responsibility for all decisions made in reliance on information provided through the Services and agree that Kensu shall not be liable for any health-related outcomes.

7. Third-Party Providers

All providers and vendors referenced through the Services are independent third parties. Kensu does not supervise, control, endorse, or assume responsibility for any third-party provider and does not guarantee availability, pricing, safety, quality, performance, or outcomes.

Kensu does not verify the accuracy, completeness, or timeliness of information provided by users or third-party providers.

Kensu is not an employer, agent, partner, or joint venture of any third-party provider, and no such relationship is created by your use of the Services.

All engagements, transactions, and services are entered into solely between you and the applicable third party.

Release

To the fullest extent permitted by law, you release Kensu and its affiliates from any claims, demands, and damages arising out of or related to disputes between you and any third-party provider or other user.

If you are a California resident, you waive California Civil Code §1542, which states that a general release does not extend to claims unknown at the time of execution.

8. Booking, Memberships, and Discounts

8.1 Booking & Coordination

If offered, Kensu may facilitate booking requests or coordination. Kensu does not provide the underlying services. Third-party policies (including deposits and cancellation rules) apply.

8.2 Subscriptions

Paid subscriptions may auto-renew unless canceled. Fees are non-refundable except as required by law.

8.3 Payments

Payments may be processed through third-party processors (e.g., Stripe, Apple, Google). You authorize us to charge your selected payment method. Kensu is not responsible for errors or failures of payment processors.

You are responsible for all applicable taxes, payment disputes, and chargebacks associated with your transactions.

Kensu may suspend or terminate accounts associated with excessive payment disputes, chargebacks, or suspected fraud.

9. Advisory and Concierge Services

Kensu may offer paid advisory or concierge services (“Advisory Services”). Advisory Services are informational and facilitative only and do not constitute medical advice. Advisory Services do not alter the independent status of any third-party provider.

Advisory fees are non-refundable once work has commenced unless otherwise agreed in writing.

10. User Content

“User Content” means any content you submit, including check-ins, photos, notes, ratings, tags, lists, and comments.

You retain ownership of your User Content. By submitting User Content, you grant Kensu a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, adapt, modify (for technical or formatting purposes), display, distribute, and promote such content in connection with the Services and Kensu’s business, including marketing.

User Representations

You represent and warrant that:

  • You own or have all necessary rights to your User Content;
  • Your User Content does not violate any law or third-party rights;
  • Your User Content is accurate to the best of your knowledge.

Kensu reserves the right, but has no obligation, to monitor, review, edit, or remove User Content in its sole discretion.

11. Health Claims and Community Guidelines

Users may share personal experiences; however, you may not:

  • Present anecdotal experiences as medical or professional advice;
  • Make false, misleading, or unsubstantiated health claims;
  • Misrepresent professional credentials or qualifications;
  • Post medical misinformation or unsafe content.

We reserve the right, in our sole discretion, to remove any content that we believe is misleading, unsafe, unlawful, infringing, or otherwise violates these Terms.

You agree not to post content that is unlawful, defamatory, fraudulent, infringing, abusive, or harmful.

12. Location Features and Check-Ins

If you use location-based features, you acknowledge that location data, check-ins, or tagged content may be visible based on your privacy settings and may be shared by other users.

You assume all risk associated with sharing location information. Kensu is not responsible for any use, misuse, or consequences arising from such disclosure.

13. Intellectual Property

All content, materials, features, and functionality of the Services — including, without limitation, text, graphics, logos, branding, design, software, code, algorithms, databases, and proprietary content (excluding User Content) — are owned by Kensu or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Subject to these Terms, Kensu grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use only.

You may not, without our prior written consent:

  • Copy, reproduce, distribute, publicly display, or create derivative works from the Services;
  • Reverse engineer, decompile, disassemble, or attempt to extract source code;
  • Scrape, crawl, or use automated tools to access or collect data from the Services;
  • Use the Services or any content for commercial purposes;
  • Remove or alter any proprietary notices.

All rights not expressly granted are reserved by Kensu.

14. Beta Features; Feedback

Certain features may be labeled alpha, beta, or early access and may change without notice. Any feedback, ideas, or suggestions you provide may be used by Kensu without restriction or compensation.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KENSU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

KENSU DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

KENSU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL KENSU’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100); OR (B) THE AMOUNT YOU PAID TO KENSU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. Indemnification

You agree to defend, indemnify, and hold harmless Kensu and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use or misuse of the Services;
  • Your User Content;
  • Your violation of these Terms or applicable law;
  • Your interactions or disputes with any third party.

Kensu reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate in such defense.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before initiating arbitration, you agree to contact us and attempt to resolve the dispute informally within 30 days.

18.2 Arbitration

Except for small claims or intellectual property disputes, disputes shall be resolved by binding individual arbitration administered by JAMS in California. The Federal Arbitration Act governs the interpretation of this arbitration provision.

18.3 Class Action Waiver

You waive the right to participate in a class action.

18.4 Opt-Out

You may opt out of arbitration within 30 days of accepting these Terms by sending written notice including your name and email. Opt-out notices must be signed and sent to the Contact Information listed below.

If you opt out, disputes will be resolved in California courts.

19. Termination

We may suspend or terminate your access if you violate these Terms or pose risk to the platform. Sections 6, 7, 10, 13–18 and any provisions which by their nature should survive shall survive termination.

20. Force Majeure

Kensu shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, government actions, labor disputes, internet service interruptions, or payment processor failures.

21. Assignment

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale.

22. Severability; No Waiver

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of our rights.

23. Export Compliance

You represent that you are not located in a country subject to U.S. embargo and are not listed on any U.S. government restricted party list.

24. Governing Law

These Terms are governed by the laws of the State of California.

25. Entire Agreement

These Terms constitute the entire agreement between you and Kensu regarding the Services.
